SALESPERSON AGREEMENT. This Salesperson Agreement (“Agreement”) is entered into by and between Iron Tusk, LLC ("The Company") and the individual above ("The Salesperson"). This agreement is effective upon the date on which this form is submitted. The Salesperson agrees to promote the Company’s products using a discount code provided by the Company. The Salesperson is not contractually obligated to post or promote the product, but by doing so, they may benefit from the commission structure outlined in this Agreement. The Salesperson will earn a commission of 20% on sales (not including shipping, taxes, or fees) generated through their discount code. When a sale is present, sales reports will be provided to the Salesperson by the fourth business day of the following month. Commission payments will be made within 14 days of the sales report. The Company is required by law to report payments totaling $600 or more in a calendar year to the Internal Revenue Service (IRS) via Form 1099-NEC. To ensure compliance, the Company will require the Salesperson to submit a completed IRS Form W-9 once total commissions earned approach $600. If the Salesperson fails to provide the necessary tax documentation, the Company reserves the right to withhold further payments until such documentation is received. While the Salesperson is not obligated to post specific content, any content related to the Company must adhere to the following guidelines: no slandering of the Company or its products and no false claims about the Company’s products. In the event of any returned items or fraudulent transactions, the corresponding commission will be deducted from the next payment. The Company may terminate this Agreement at any time, for any reason, with written notice to the Salesperson. Upon termination, the Company will still pay out commissions for sales made prior to termination. If the Salesperson breaches any content guidelines, the Company may terminate the Agreement immediately and refuse payment for sales generated by the Salesperson. The Salesperson retains ownership of the content they create. However, by agreeing to promote the Company, the Salesperson grants the Company a non-exclusive, royalty-free license to use any such content for marketing purposes during the term of this Agreement. By submitting this form, the Salesperson agrees to this Agreement.*
